RESPONSIBLE AI USE CUSTOMER POLICY
Capitalized terms used but not defined herein have the meaning set forth in the Master License and Services Agreement or the Order Form, or other services or license agreement or accompanying ordering document between Ditto and Customer (a “Customer Agreement”) in which this Responsible AI Use Customer Policy (“Policy”) is incorporated into or otherwise referenced.
1. DEFINITIONS
In addition, for the purposes of this Policy, the following additional definitions shall apply:
- (a) “GenAI Tool” means any and all machine learning, deep learning, and other artificial intelligence (“AI”) technologies, including statistical learning algorithms, models (including large language models), neural networks, and other AI tools or methodologies, software implementations of any of the foregoing, and related hardware or equipment capable of generating various types of content (including text, images, video, audio, or computer code) based on user-supplied prompts.
- (b) “AI Input” means information, data, materials, text, prompts, images, or other content that is (i) input, entered, posted, uploaded, submitted, transferred, transmitted, or otherwise provided or made available for the benefit of or by or on behalf of Customer for processing by or through GenAI Tools, or (ii) collected, downloaded, or otherwise received by GenAI Tools for the benefit of or by or on behalf of Customer.
- (c) “Customer” means the customer entity who is a party to a Customer Agreement with Ditto.
- (d) “Ditto” means DittoLive Incorporated, a Delaware corporation, and its Affiliates.
- (e) “Training Data” means any and all information, data, materials, text, prompts, images, and other content that is used to train, validate, test, retrain, or improve any GenAI Tool incorporated into or used with, in connection with, or in support of, the Services as ordered under a Customer Agreement.
2. PERMITTED GENAI TOOL USES
Ditto may use GenAI Tools for the following uses:
- (a) Coding Assistance: To assist in coding during the development of Software, provided:
- (i) any code suggested by GenAI Tool is subject to human review and professional judgment of Ditto personnel;
- (ii) Ditto remains responsible and liable for the development and provision of its Software and Services as provided for under the Customer Agreement;
- (iii) GenAI Tool is not incorporated into, made part of, or required to use any Software delivered or licensed to Customer under this Agreement; and
- (iv) no Customer Confidential Information is used as AI Input.
- (b) Service Operational Efficiencies: To assist in data retrieval, organizing information, and suggesting solutions to Ditto support engineers where Customer submits a support ticket to Ditto in accordance with the Support terms, provided:
- (i) any solutions suggested by GenAI Tool is subject to human review and professional judgment of Ditto personnel;
- (ii) Ditto remains responsible and liable for the provision of Services as provided for under the Customer Agreement;
- (iii) Ditto personnel are the ones providing communications to Customer in response to any support tickets submitted (i.e., Customer is not receiving incident resolutions from a GenAI Tool chatbot); and
- (iv) Ditto uses industry standard and reasonable security measures (such as but not limited to vector databases, encryption, or other forms of securing data being disclosed to any GenAI Tool vendor; and verifying minimally necessary record retention policies of GenAI Tool vendors). Customer should provide only minimally necessary information when submitting support tickets (and avoid submitting Customer Confidential Information, whether by omission or redaction, except to the extent necessary).
- (c) Administrative Operational Efficiencies: To assist in data retrieval, organizing information, and efficiently handling routine processes for Ditto administrative functions, provided:
- (i) any functions performed by GenAI Tool are subject to human review and professional judgment of Ditto personnel;
- (ii) Ditto remains responsible and liable for the handling of Customer Confidential Information as provided for under the Customer Agreement;
- (iii) Ditto personnel are the ones providing communications to Customer in response to any inquiries (not a GenAI Tool chatbot); and
- (iv) Ditto uses industry standard and reasonable security measures (such as but not limited to vector databases, encryption, or other forms of securing data being disclosed to any GenAI Tool vendor; and verifying minimally necessary record retention policies of GenAI Tool vendors).
3. USE OF AI
During the term of the Customer Agreement, Ditto shall ensure that:
- (a) no Service or Software includes GenAI Tool except as permitted herein or otherwise with the written consent of Customer; and
- (b) the operation and use of any Service or Software in accordance with this Agreement does not require the use of GenAI Tool, in each case, except and only to the extent that such GenAI Tool use is described herein or in an Order Form.
4. DITTO AI REQUIREMENTS
For all GenAI Tools permitted in accordance with the foregoing, Ditto shall:
- (a) maintain and be in material compliance with all third-party licenses, consents, and permissions;
- (b) provide all required notices and disclosures; and
- (c) otherwise have and maintain the rights, powers, and authority, in each case as required under applicable laws, as necessary for Customer’s use of the Services and Software under the Customer Agreement, and in connection with Ditto’s provision of Services and Software under the Customer Agreement.
5. COMPLIANCE WITH THIRD-PARTY TERMS
Ditto shall be in compliance in all material respects with all use restrictions and other requirements of any license, consent, permission, or other agreement and any website terms of use, terms of service, or other terms governing the use of the GenAI Tools.
6. LEGAL COMPLIANCE
Ditto shall comply in all material respects with all applicable laws and third-party contractual or other rights applicable to the use and provision of GenAI Tools. Ditto shall ensure that Customer’s use of the Services and Software that includes any permitted GenAI Tool, when used consistent with this Customer Agreement, does not violate any applicable law, or a third party’s contractual or other rights.
7. NO TRAINING AND SHARING OF CUSTOMER DATA
Ditto does not develop or train any GenAI Tool using Customer Data and does not permit Customer Data to be shared outside of Ditto’s closed environment/instance of a GenAI Tool without first anonymizing, de-identifying, and aggregating the data such that Customer and any of its end users are no longer identifiable. In addition, Ditto shall not use any GenAI Tool in any manner that could reasonably be expected to adversely affect Customer’s rights in the Services or use of the Software as described under the Customer Agreement.
8. ETHICAL AND RESPONSIBLE USE
Ditto shall maintain and remain in material compliance with commercially reasonable corporate policies and procedures for the ethical and responsible use of GenAI Tools, including vendor due diligence and for transparency, human interpretability, mitigation of bias, and oversight of data input into GenAI Tools.
9. ACCURACY
Ditto shall take commercially reasonable steps to monitor and prevent the GenAI Tool from generating any inaccuracies or hallucinations that materially impact the Services or Software.
